By accessing or using Cercle, provided by Cercle One, you agree to comply with and be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, you should not use Cercle. These Terms are subject to change, and it is your responsibility to review them periodically.

2. Use of Service

By using Cercle, you agree to comply with all applicable laws and regulations. Cercle provides a platform for showcasing and selling products through a mobile app, including features such as shoppable reels, stories, and curated collections.

  • You may only use Cercle for lawful purposes.
  • You agree not to misuse the service by engaging in activities that may interfere with the operation of Cercle, including uploading malware or unauthorized content.
  • You are responsible for maintaining the confidentiality of your account and any associated credentials.
  • Cercle reserves the right to suspend or terminate your access to the service at any time, for any reason, without notice.

3. Account Registration

To access and use certain features of Cercle, you may be required to create an account. By registering for an account, you agree to provide accurate, current, and complete information and to update it as necessary.

  • You are responsible for maintaining the confidentiality of your account login details.
  • You agree to notify Cercle immediately of any unauthorized use of your account.
  • You may not transfer or share your account with others.

4. Product Listings and Purchases

Merchants using Cercle can efficiently manage and showcase their products, offering customers an enhanced shopping experience. All products listed on the platform are visible to customers via a streamlined, mobile-first shopping interface, making it easier to browse and purchase items directly from the app.

  • Product Listings: Merchants can upload detailed product listings, including images, descriptions, pricing, inventory quantity, and shipping details. Ensure that all product information is accurate and up-to-date to provide a positive customer experience.
  • Product Display: The product information is showcased in an engaging, visually appealing format on the Cercle app, optimized for both mobile and desktop devices. Merchants can customize how their products are displayed to suit their branding.
  • Customizable Product Categories: Merchants can categorize their products into various collections and categories, making it easier for customers to find what they are looking for.
  • Inventory Management: Keep track of stock levels to ensure that customers can only purchase available items. Cercle syncs product inventory in real time to reflect current stock levels, reducing the chances of overselling.
  • Purchase Process: Once a customer selects a product, they can easily add it to their cart and proceed to checkout within the app.
  • Order Fulfillment: After an order is placed, the merchant is responsible for processing and fulfilling the order promptly.
  • Customer Support: Cercle encourages merchants to provide excellent customer service. Respond to inquiries, resolve issues promptly, and ensure your customers have the best possible experience with your products.
  • Product Return & Refund Policy: Merchants must provide clear guidelines regarding returns and refunds on their privacy policy.

     

5. Payment and Billing

At Cercle, we offer a secure and seamless payment and billing process for both merchants and customers. Our platform integrates multiple payment methods to ensure a smooth transaction experience.

  • Merchant Subscription Fees: Merchants are required to pay subscription fees to access and use the Cercle platform.
  • Transaction Fees: A small transaction fee may be applied to each sale made through the app, depending on the merchant’s subscription plan.
  • Payment Methods: We accept a wide range of payment methods, including credit/debit cards and other online payment gateways.
  • Billing Cycle: Cercle accepts payments through various methods enabled by Shopify Payments, including but not limited to credit and debit cards. If Shopify Payments supports additional payment methods, they will be available to you at checkout.
  • Refunds and Cancellations: Customers can not ask for a refund after order is confirmed(fulfilled).

6. Shipping and Delivery

At Cercle, we understand the importance of timely and efficient shipping and delivery for both merchants and customers. We are committed to providing a streamlined process that ensures a positive experience for everyone involved.

  • Merchant Responsibility: As a merchant, you are responsible for fulfilling orders, packaging products securely, and selecting an appropriate shipping method.
  • Shipping Methods: Merchants are free to choose from a variety of shipping carriers and methods.
  • Shipping Costs: Shipping fees are determined by the merchant and are typically passed onto the customer during checkout.
  • Order Processing Time: Merchants are expected to process and ship orders in a timely manner.
  • Tracking Information: Once an order is shipped, merchants must provide tracking information to customers.
  • Delivery Times: Delivery times vary depending on the shipping method and destination.
  • Damaged or Lost Packages: Cercle is not responsible for damages or losses that occur during shipping.
  • Customs and Duties: For international orders, merchants are responsible for ensuring that all customs declarations and duties are handled correctly.

7. Privacy and Data Protection

Cercle values the privacy and security of our users and their customers. We are committed to protecting the personal information you share with us and to providing a transparent privacy policy in line with the best practices and legal requirements.

  • Data Collection: We collect personal information when you register for an account, make a purchase, interact with the app, or contact customer support. However, we do not collect or store customer data from your store. We only collect information that is necessary for the functionality of the app and services that we provide.
  • Use of Data: The data we collect is used to provide our services, improve your experience, process transactions, and maintain the functionality of the app. We do not use customer data for marketing or other purposes outside of the app’s functionality.
  • Third-Party Data Sharing: We do not share your personal information with third parties except as necessary to provide our services. We ensure that any third parties we work with are compliant with privacy regulations and standards.
  • Payment Information: Cercle uses secure, third-party payment processors, such as Shopify Payments, to handle your payment information. We do not store or manage payment details, ensuring that payment information is handled securely and directly through trusted payment platforms.
  • Data Security: We use advanced security measures to protect the data we collect, including encryption and secure data storage practices to prevent unauthorized access and ensure the privacy of your data.
  • Cookies and Tracking: We use cookies and other tracking technologies to enhance your experience with Cercle. These help us improve app performance, personalize content, and provide analytics, but do not collect customer data from your store.
  • Your Rights: You have the right to access, correct, or delete your personal data. You may request to view or delete any information we store about you at any time.

8. Intellectual Property

All content features and functionality available through Cercle including but not limited to trademarks logos text graphics images videos software and code are the exclusive property of Cercle, its affiliates or its licensors. These elements are protected by intellectual property laws such as copyright trademark and patent laws.

Your License to Use

When you access and use Cercle you are granted

  • A limited non-exclusive non-transferable license to access and use the platform for personal non-commercial purposes.
  • This license allows you to view and interact with the content but does not grant you any rights to modify, distribute, transmit, perform, reproduce or use the content for commercial purposes.

Restrictions

You are not permitted to

  • Copy, reproduce or distribute any part of the platform’s content without prior written consent from Cercle.
  • Use any content from Cercle in a manner that infringes upon Cercle‘s or third-party intellectual property rights.
  • Reverse-engineer or attempt to extract the source code of the platform’s software.

Infringement

Any unauthorized use of Cercle’s intellectual property may result in

  • Immediate suspension or termination of your account.
  • Legal action including potential claims for damages.

Reporting Infringement

If you believe that any content on Cercle infringes upon your intellectual property rights please contact us immediately to report the issue.

9. Limitation of Liability

To the fullest extent permitted by law Cercle and its affiliates will not be held liable for any damages resulting from your use or inability to use the platform. This includes but is not limited to direct indirect incidental special consequential or punitive damages arising from

  • Errors or omissions in the content
  • Loss or damage to data
  • Technical issues or interruptions in service
  • Unauthorized access to or alteration of your account or content

In no event will Cercle‘s total liability to you for all damages, losses and causes of action exceed the amount paid by you to Cercle for using the platform in the last 12 months or the value of the transaction that gave rise to the claim whichever is greater.

Cercle makes no representations or warranties regarding the accuracy, reliability or completeness of the content or services provided. You agree that your use of the platform is at your own risk and that you are solely responsible for any damage to your device or data.

This limitation of liability applies to all claims regardless of whether they arise from contract tort or other legal theory.

10. Termination

Cercle reserves the right to suspend or terminate your account and access to the platform at its sole discretion, with or without notice, for any reason including but not limited to:

  • Violation of these Terms: Any breach of these Terms and Conditions or our policies.
  • Unauthorized use: Engaging in fraudulent or illegal activities.
  • Inactivity: Prolonged periods of inactivity on your account.
  • Having continuous order cancellation of more then 10 orders/month from the merchant’s side will also lead to suspension or termination.

Upon termination, you will no longer have access to certain features or services, and Cercle may delete your account data. You may also lose access to any purchased content or services.

If your account is terminated, you agree to immediately cease all use of the platform and uninstall any related software or applications. You also acknowledge that Cercle is not liable for any damages or loss of data resulting from termination.

Termination of your account does not affect any rights or obligations that have accrued prior to the termination date.

Cercle may also terminate or suspend services for all users or modify the platform at any time without prior notice. Any termination or suspension will not affect your liability for any unpaid fees or obligations under these Terms.

11. Amendments

Cercle reserves the right to suspend or terminate your account and access to the platform at its sole discretion, with or without notice, for any reason including but not limited to:

Cercle reserves the right to update, modify, or change these Terms and Conditions at any time, in its sole discretion. Any such changes will be effective immediately upon posting the updated Terms on the platform, with the new effective date clearly indicated at the top of the page.

We encourage you to review these Terms periodically to stay informed of any changes. Your continued use of Cercle after the posting of any changes constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the platform immediately.

In the event of significant changes to the Terms, such as those affecting your rights or obligations, Cercle may notify you via email or other means.
